Contractual Framework

General Terms and Conditions (B2B)

§1 Scope of Application

(1) These General Terms and Conditions ("GTC") apply to all contracts concluded between Philipp T. Schröder, operating as PSAICO Systems (hereinafter "Provider"), and business customers within the meaning of §14 German Civil Code (BGB).

(2) Services are provided exclusively to entrepreneurs. No contracts are concluded with consumers.

(3) Deviating or conflicting terms of the client shall not apply unless expressly agreed in writing.

§2 Subject Matter of Services

(1) The Provider offers enterprise AI infrastructure implementation, system integration, architectural design, onboarding, enablement and SLA-based support services.

(2) The Provider does not operate proprietary AI models. Third-party systems and Large Language Models (LLMs) are selected by the client and integrated accordingly.

(3) The exact scope of services results from the individual contract, project specification or statement of work.

§3 Contract Models

(1) Services may be provided under:

  • Service Contracts (Dienstvertrag) billed hourly
  • Work Contracts (Werkvertrag) with defined deliverables
  • Retainer or support agreements

(2) No minimum contract term applies unless explicitly agreed.

§4 Client Obligations

(1) The client is responsible for providing all required information, access credentials and technical prerequisites.

(2) The client remains solely responsible for the lawful processing of data and compliance with applicable regulations.

(3) The client is responsible for validating AI-generated outputs before operational or strategic use.

§5 AI Systems and No Guarantee of Results

(1) AI systems generate probabilistic outputs. Results may be incomplete, inaccurate or context-dependent.

(2) The Provider does not guarantee correctness, completeness, availability or economic success.

(3) AI systems constitute decision-support tools unless explicitly agreed otherwise in writing.

§6 Liability

(1) The Provider shall be liable without limitation in cases of intent and gross negligence.

(2) In cases of slight negligence, liability shall be limited to foreseeable damages typical for the contract.

(3) Liability for indirect damages, loss of profit, business interruption or data loss is excluded unless mandatory statutory provisions apply.

§7 Confidentiality

Both parties agree to treat confidential information disclosed during the contractual relationship as strictly confidential.

§8 Governing Law and Jurisdiction

(1) German law shall apply.

(2) Place of jurisdiction is Berlin, Germany, provided the client is a merchant.

§9 Severability Clause

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
